End User License Agreement
For the Vistofy Mobile Application

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("User" or "Licensee") and Vistofy (a unit of UANDV India LLP) ("Licensor" or "Company") for the use of the Vistofy mobile application (the "App"). This EULA is required for submission to Google Play Store and Apple App Store and governs your use of the App on those platforms.
BY CLICKING "ACCEPT", DOWNLOADING, OR INSTALLING THE APP, YOU AGREE TO BE BOUND BY THIS EULA. IF YOU DO NOT AGREE, DO NOT DOWNLOAD OR USE THE APP.
1. GRANT OF LICENSE
Subject to the terms of this EULA and payment of the applicable Subscription fee, the Company grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a single device owned or controlled by you, solely for your personal or internal business purposes in accordance with this EULA.
2. LICENSE RESTRICTIONS
You may NOT:
- Copy, modify, adapt, translate, or create derivative works based upon the App;
- Reverse engineer, disassemble, decompile, or otherwise attempt to derive source code from the App;
- Sell, resell, rent, lease, sublicense, or otherwise transfer rights in the App to any third party;
- Remove, obscure, or alter any copyright, trademark, or other proprietary notices in the App;
- Use the App in any manner that could damage, disable, overburden, or impair the Company's servers or networks;
- Use the App to create, store, or transmit any illegal, harmful, or objectionable content;
- Use the App on behalf of third-party clients for commercial design services without a Commercial License from the Company;
- Circumvent or attempt to circumvent any digital rights management (DRM) or technical protection measures in the App.
3. INTELLECTUAL PROPERTY
The App and all content within it — including but not limited to the software, design templates, icons, images, text, code, and trade marks — are owned by or licensed to the Company and are protected by Indian and international intellectual property laws. This EULA grants you no ownership interest in the App.
4. SUBSCRIPTION & UPDATES
4.1 The App requires a valid annual Subscription (Rs. 4,000/- per year inclusive of GST) to access its full features. Trial access (if available) is governed by separate trial terms.
4.2 The Company may provide updates, upgrades, or new versions of the App. This EULA will apply to all such updates unless a new EULA is presented and accepted.
5. GOOGLE PLAY & APPLE APP STORE TERMS
5.1 If you downloaded this App from Google Play Store, your use is also subject to Google's Terms of Service. In the event of any conflict between this EULA and Google's Developer Distribution Agreement, Google's terms shall apply to the distribution aspects only.
5.2 If you downloaded this App from Apple App Store, Apple is not a party to this EULA and is not responsible for the App or its content. Apple has no obligation to provide maintenance or support for the App. In the event of any product liability claim or failure of the App to meet any applicable legal or regulatory requirement, Apple bears no responsibility.
5.3 Both Google and Apple are third-party beneficiaries of this EULA and may enforce it against you as a third-party beneficiary.
6. PRIVACY
Your use of the App is also governed by our Privacy Policy, which is incorporated herein by reference. By using the App, you consent to the collection and use of your data as described in the Privacy Policy.
7. TERMINATION
This EULA is effective until terminated. It will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the App and delete all copies from your devices. The Company may also terminate this EULA at any time for any reason by providing notice to you.
8. DISCLAIMER OF WARRANTIES
THE APP IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES — EXPRESS OR IMPLIED — INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. LIMITATION OF LIABILITY
In no event shall the Company be liable for any special, incidental, indirect, or consequential damages whatsoever (including damages for loss of profits, loss of data, or business interruption) arising from the use of or inability to use the App, even if the Company has been advised of the possibility of such damages. The Company's total liability shall not exceed the amount paid by you for the Subscription in the preceding twelve (12) months.
10. GOVERNING LAW
This EULA shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Jaipur, Rajasthan, India.
11. ENTIRE AGREEMENT
This EULA, together with the Privacy Policy and Terms & Conditions, constitutes the entire agreement between you and the Company with respect to the App and supersedes all prior agreements and understandings.
