Terms & Conditions

By downloading, installing, registering, or using the Application or any of our Services, you unconditionally accept these Terms and Conditions, our Privacy Policy, and all other policies published on our Platform. These Terms constitute a legally binding agreement between you and the Company.

If you are using the Application on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

• You must be at least 18 years of age to use the Application and Services.
• You must be legally capable of entering into binding contracts under applicable Indian law.
• You must provide accurate, current, and complete information during registration and keep your account information updated.
• The Services are available to users in India. Use from outside India is subject to applicable local laws of your jurisdiction.

4.1 You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at support@vistofy.in of any unauthorized use of your account.

4.2 We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, misuse the Platform, or cause harm to other users or the Company.

4.3 One Subscription is valid for one business entity / brand profile. Each Subscription includes one primary user account. Additional user accounts (if available) are subject to separate pricing.

5.1 The Application is offered on an annual subscription basis at a price of Rs. 4,000/- per year (inclusive of applicable GST), subject to revision by the Company with thirty (30) days' prior notice.

5.2 Subscriptions are non-transferable. They are tied to the registered account and business profile.

5.3 Renewal of subscription is the user's responsibility. The Company may send reminder notifications but bears no liability for lapsed subscriptions due to non-renewal.

5.4 All payments are processed through secure third-party payment gateways. The Company does not store your payment card details. Payment is subject to the terms of the applicable payment gateway.

5.5 For refund provisions, please refer to our separate Refund & Cancellation Policy.

6.1 Permitted Use

• Using the Application to create social media content, branding materials, and business communication for your own business;
• Downloading and sharing designs created using the Application on social media platforms and messaging services for your own business promotion;
• Using templates, features, and modules as intended by the Application's design.

6.2 Prohibited Use — You shall NOT:

• Resell, sublicense, distribute, or commercially exploit the Application, its features, or any content therein without written authorization from the Company;
• Use the Application to create content for third-party businesses without a separate commercial license from the Company;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Application;
• Upload, share, or distribute any content that is illegal, obscene, defamatory, hateful, or violates any applicable law;
• Use the Application in any manner that infringes third-party intellectual property rights;
• Use automated bots, scrapers, or scripts to access the Application;
• Attempt to gain unauthorized access to any part of the Application, its servers, or related systems;
• Use the Application to transmit spam, phishing content, or any malicious material.

7.1 All content within the Application — including but not limited to templates, designs, icons, graphics, layouts, software code, algorithms, and branding — is the exclusive intellectual property of the Company and is protected by applicable intellectual property laws.

7.2 By using the Application, you are granted a limited, non-exclusive, non-transferable, revocable license to use the Application for your own personal or business social media content creation purposes only.

7.3 Content you create using the Application (your brand-customised designs) belongs to you, subject to the Company's underlying rights in the templates and design elements used.

7.4 You grant the Company a non-exclusive, royalty-free license to use anonymised and aggregated usage data to improve the Application and services.

8.1 You are solely responsible for all content you upload, input, or generate using the Application — including your brand name, logo, colours, and any text or images you use.

8.2 By uploading your brand assets (logo, colours, etc.) to the Application, you represent and warrant that you own or have the right to use such assets and that their use does not infringe any third-party rights.

8.3 The Company reserves the right to remove any user content that violates these Terms or applicable law, without notice.

The Application may allow sharing content to third-party platforms (WhatsApp, Instagram, Facebook, etc.). Your use of such platforms is governed by their respective Terms of Service. The Company is not responsible for the policies, practices, or actions of any third-party platform.

To the maximum extent permitted under applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of revenue, loss of data, business interruption, or reputational harm — arising from your use of the Application, even if the Company has been advised of the possibility of such damages.

The Company's total aggregate liability to you for any claim arising from the use of the Application shall not exceed the amount paid by you for the Subscription in the twelve (12) months immediately preceding the claim.

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, partners, and agents from and against any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Application in violation of these Terms; (b) your user content; (c) your violation of any third-party rights; or (d) your violation of applicable law.

The Company reserves the right to suspend or terminate your access to the Application at any time, with or without notice, if you violate these Terms, engage in fraudulent or illegal activity, or for any other reason the Company deems appropriate. Upon termination, your right to use the Application ceases immediately. Provisions of these Terms that by their nature should survive termination shall continue to apply.

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising from or relating to these Terms or your use of the Application shall first be attempted to be resolved amicably. If unresolved within thirty (30) days, the dispute shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, conducted in Jaipur, Rajasthan. The courts of Jaipur, Rajasthan, India shall have exclusive jurisdiction.

The Company reserves the right to modify these Terms at any time. Changes will be notified via the Application or registered email address. Your continued use of the Application after such notification constitutes acceptance of the revised Terms. If you do not accept the modified Terms, you must discontinue use of the Application.
